1. NAME

 

The name of the Association shall be "The Galleywood Common Association"

OBJECTS

 

The objects of the Association shall be:-
 
  • To secure the preservation and protection of the natural beauty and amenities of Galleywood Common
  • To bring occurrences which are likely to detract from the amenities of The Common to the attention of the authorities charged with the management and regulation of The Common.
  • To seek and receive the views of the members of The Association on matters concerning the preservation, care, protection, management, maintenance and improvement of The Common and its
  • To act as a co-ordinating body representing the views of members of The Association to the authorities charged with the management and regulation of The Common, and to co-operate with such authorities.
  1. MEMBERSHIP
    • Membership of the Association is open to all who live in the district and neighbourhood in which Galleywood Common is situated and are interested in furthering the preservation and protection of the natural beauty and amenities of The Common.
    • The Committee shall have the right to expel any member of the Association at any time if, in their reasonable opinion, that member is then engaged in activities which are harmful to the beauty and/or amenities of Galleywood

  • Individual Life Membership -- £15 Family Life Membership -- £20
 
 
  1. MEETINGS
 
  • An Annual General Meeting of The Association shall be held in, or about, the month of April of every year for the following purposes:-
 
  • To receive the Committee's report for the year ended on the immediately preceding 31 st
  • To receive the accounts of The Association for the year ended on the immediately preceding 31 st
December.
 
  • To elect the Officers of The
>       To elect other members of the Committee of The Association, and
 
  • To discuss any matters touching upon the preservation, care, protection, management, maintenance or improvement of Galleywood Common which the Committee, or any member of The Association wish to
  • The Committee shall have power to call extraordinary meetings of The Association whenever they so
decide.
 
  • The Committee shall be bound to call an extraordinary general meeting of the Association on receiving a written request for an extraordinary general meeting from fifteen or more members of The Association whose subscriptions are fully paid up.
 
  • The Committee shall give at least seven day's notice to all members of all meetings of The Association
  • An officer and three other members shall constitute a quorum for any meeting of The
  1. OFFICERS
    • The officers of the Association shall consist of:- A Chairman
An Honorary Secretary
An Honorary Treasurer
All of whom shall relinquish office every year, but be eligible for re-election at the Annual General Meeting.
 
  • Nominations for the election of Officers shall be made in writing to the Honorary Secretary at least three days before the Annual General Meeting and shall be supported by a seconder.
 
  • In the absence of another nomination for any office, the retiring Officer, if he or she has indicated willingness to continue in that office, shall be deemed to be re-elected.
 
  • The Committee shall have power to fill any vacancy occurring among the Officers by co-opting a member to the vacant office
 
  1. COMMITTEE
 
  • The Committee of the Association shall consist of the Officers of the Association and not less than three, and not more than nine other members of the
 
 
 
 
  • In addition to the Officers, one third (or the number nearest thereto) of the other members of the Committee shall retire every year, but shall be eligible for re-election at the Annual General
 
  • In the absence of agreement between other members of the Committee as to which of them shall retire,
the sel ection of those to retire shall be made by the Chairman on the basis:-
 
  • That those who were not elected at the Annual General Meeting but were appointed by the Committee or the Chairman should be the first to be selected.
 
  • That if further selections are necessary they should be made, so far as possible, on the 'lirst in - first out" basis.
 
  • Nominations for membership of the Committee shall be in writing to the Honorary Secretary at least three days before the Annual General Meeting and be supported by a However, if it shall appear to the Chairman of any Annual General Meeting that for any good reason, such as there being insufficient nominations to fill the vacancies, , further nominations are desirable, he or she may request and accept verbal further nominations for membership of the Committee from members present at that Annual General Meeting. If the total nominations exceed the total number of vacancies, a ballot should be taken at the Annual General Meeting among those members present thereat.
 
 
  • The election of the other members of the Committee shall come after the election of the Officers at Annual General A member may be nominated for election as an Officer and may also be nominated for election as another member of the Committee, but if he or she be elected as an Officer, his or her nomination for election as another member of the Committee shall be withdrawn.
 
  • Should the number of other members of the Committee be less than nine at any time, the Committee shall have power to co-opt one or more members of the Association to the Committee so as to bring the number of the other members to nine or some lesser
 
  • The Committee shall be entitled to invite persons (whether or not they be members of the Association) to attend and speak at any meeting, or meetings of the Committee in an advisory and non-voting capacity.
 
  • The quorum for meetings of the Committee shall be an Officer and three other
 
  • The Committee shall meet not less than three times a year at intervals of not more than four
  • The Honorary Secretary shall call meetings of the Committee whenever he/she shall be requested so to do by either the Chairman or two other members of the Committee.
  • The Honorary Secretary shall give all members of the Committee not less than seven days notice of each meeting.
7.8.   POWERS AND DUTIES OF THE COMMITTEE
 
  • The Committee shall be responsible for the management and administration of the
 
  • The Committee shall receive all contributions to the Association whether by way of subscription,
donation or otherwise.
 
  • The Committee shall, out of such funds, pay all the proper expenses of the management and administration of the Association.
 
  • The Committee shall cause true accounts to be kept of the income and expenditure of the Association and shall, at each Annual General Meeting, present an income and expenditure account made up to the 31 st December of the immediately preceding year, together with a balance sheet as at that date.
 
  • The Committee may from time to time constitute such sub-committees from among their number as they shall consider necessary for such purposes as they shall think fit. Every such sub-committee shall be subordinate to, and may be regulated or dissolved, by the Committee.
 
9           CHAIRMAN
 
  • The Chairman for the time being of the Association shall take the chair at all general and Committee meetings at which he or she is present.
 
  • In the case of Annual General Meetings, the Chairman at the commencement of the meeting shall take the chair and if, but only if, he or she be not re-elected Chairman at the meeting, he or she shall hand over the chair to the incoming Chairman.
  • If the Chairman for the time being of the Association be absent from any meeting the members present shall elect one of the members present at the meeting to take the chair at that meeting.
  • In the event of an equality of votes cast on any resolution at any meeting, the person in the chair at that meeting shall have a second or casting vote.
  • The ruling of the person in the chair at any meeting on any point of order which may be raised at that meeting shall be final and binding and shall not be challenged by anyone present at the meeting.
10.       AMENDMENTS TO THE CONSTITUTION
 
This Constitution may be amended from time to lime by a two thirds majority of the members present and voting at an extraordinary general meeting of the Association called for that purpose by not less than twenty one days notice.
 
 
 
11.        NOTICE OF MEETINGS

 

  • Notice to a member of a general meeting of the Association shall be deemed to be duly given if left at or sent by pre-paid post or email addressed to the address of that member last notified to the Honorary
  • Any inadvertent failure to give notice to any member or members of a general meeting of the Association shall not invalidate the proceedings at that meeting.
